Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Infosistema — Sistemas de Informação, S.A. ("Infosistema", "Company", "we", "us", "our"), a corporation registered in Portugal, governing your access to and use of the bizApply platform at bizapply.ai, including all related websites, applications, APIs, browser extensions, and services (collectively, the "Platform"). By accessing or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Platform.

1. Acceptance of Terms

By accessing, browsing, registering for, or using the Platform, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into this Agreement. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Your continued use of the Platform after any modification to these Terms constitutes acceptance of the modified Terms.

2. Description of Service

bizApply is a global job aggregation and recruitment technology platform that discovers, collects, normalizes, and indexes job listings from third-party sources worldwide. The Platform also provides applicant tracking (ATS), intelligent document processing (IDP), candidate matching, employer tools, a recruitment marketplace, real-time notifications, and API access. You expressly acknowledge and agree that:

• bizApply acts solely as an intermediary and aggregator. We do not create, verify, endorse, or guarantee the accuracy, completeness, legality, or timeliness of any job listing, employer information, salary data, or any other content sourced from third parties
• Job listings displayed on the Platform are obtained from publicly available sources and third-party integrations. The availability, accuracy, and terms of any job opportunity are solely the responsibility of the originating employer or source
• Any decisions you make based on information obtained through the Platform — including but not limited to employment decisions, hiring decisions, application submissions, and relocation decisions — are made entirely at your own risk and discretion
• We make no representations or warranties regarding employment outcomes, the suitability of any job opportunity, or the qualifications of any candidate

3. User Accounts and Security

Certain features require account registration. When creating an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) maintain the security and confidentiality of your credentials; (d) accept responsibility for all activities under your account; and (e) notify us immediately of any unauthorized use. We reserve the right to suspend, disable, or terminate any account at our sole discretion, with or without notice, for any reason, including suspected violation of these Terms.

4. Acceptable Use

You agree not to, and shall not permit any third party to:

• Scrape, crawl, spider, harvest, or systematically download content from the Platform without prior written authorization or valid API access
• Use the Platform for any unlawful, fraudulent, deceptive, or malicious purpose
• Harass, stalk, threaten, defame, or discriminate against any user, employer, or third party
• Submit false, misleading, or fraudulent information, including fake job listings, fabricated credentials, or misleading profiles
• Attempt to circumvent, disable, or interfere with any security, rate-limiting, access control, or technological protection measures
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform
• Use the Platform to develop or operate a competing service or product
• Redistribute, resell, sublicense, or commercially exploit Platform data, content, or API responses without express written authorization
• Upload or transmit viruses, malware, or any code of a destructive nature
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including reporting violations to law enforcement authorities.

5. API Usage and Rate Limits

API access is subject to the terms of your subscription plan, including rate limits, usage quotas, and data usage restrictions. Exceeding applicable limits may result in throttling, suspension, or termination of API access without prior notice. You shall not: (a) exceed your authorized API usage limits; (b) share API credentials with unauthorized parties; (c) use API data for purposes not expressly permitted; or (d) redistribute or resell raw API data to third parties without written consent. We reserve the right to modify API terms, rate limits, and pricing at any time.

6. Intellectual Property

All content, features, functionality, software, algorithms, machine learning models, designs, trademarks, trade names, logos, and data compilations on the Platform (excluding user-submitted content and third-party job listings) are the exclusive property of Infosistema or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform or our intellectual property, except the limited right to use the Platform in accordance with these Terms.

7. User Content and License Grant

By submitting, uploading, posting, or transmitting any content to the Platform (including but not limited to CVs, resumes, profiles, documents, reviews, feedback, and communications) ("User Content"), you grant Infosistema a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit such User Content in any form, medium, or technology now known or hereafter developed, for any purpose, including but not limited to:

• Operating, providing, and improving the Platform and its features
• AI and machine learning model training, testing, validation, and improvement
• Data analytics, research, statistical analysis, and generation of aggregate insights
• Marketing, promotional, and commercial purposes (in anonymized or aggregated form)
• Developing new products, services, and features

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not infringe upon any third-party rights.

8. AI and Automated Processing

The Platform employs artificial intelligence, machine learning, natural language processing, and other automated technologies to process data, generate recommendations, parse documents, score candidates, and deliver personalized experiences. You acknowledge and agree that: (a) AI-generated outputs may contain errors, inaccuracies, or biases; (b) we do not guarantee the accuracy, completeness, or suitability of any AI-generated output; (c) you are solely responsible for verifying and evaluating any AI-generated information before acting upon it; and (d) we shall not be liable for any decisions made or actions taken in reliance on AI-generated outputs.

9. Third-Party Content and Links

The Platform aggregates content from third-party sources and may contain links to external websites and services. We do not control, endorse, sponsor, or assume responsibility for the content, accuracy, privacy practices, or availability of any third-party sites or resources. Your interactions with third parties found through the Platform are solely between you and such third parties. We shall not be liable for any damage or loss arising from your use of or reliance on any third-party content, products, or services.

You agree to indemnify, defend, and hold harmless Infosistema, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your User Content; or (e) any misrepresentation made by you. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

13. Modification and Termination

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice, for any reason. We may also modify these Terms at any time. Material changes will be posted on the Platform with an updated effective date. Your continued use of the Platform following such changes constitutes acceptance. We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately, but the following sections survive: Intellectual Property, User Content and License Grant, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

14. Dispute Resolution

Any dispute, controversy, or claim arising from or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the exclusive jurisdiction of the courts of Lisbon, Portugal. You irrevocably waive any objection to such jurisdiction and venue. Each party shall bear its own costs and expenses in connection with any dispute, unless otherwise ordered by the court.

15. Force Majeure

Infosistema shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, fire, flood, or any other force majeure event.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

17. Entire Agreement and Waiver

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and Infosistema regarding the Platform and supersede all prior agreements, understandings, and communications. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right shall not constitute a waiver of such right.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
